1. About these Terms
These Terms and Conditions (Terms) govern your access to and use of the websites, platforms, applications, products, and services (Services) operated by AI Explorer (ABN 13 398 259 198) (we, us, our, or AIx).
Our Services include the AIx website (ai-explorer.com.au), the AIx Assessment (our AI readiness survey), the AIx Insights Portal (your personal dashboard), training workshops, and any related digital content or tools.
By accessing or using any of our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.
We may update these Terms from time to time. If we make material changes, we will notify you by publishing the updated Terms on our website with a revised effective date, and where practicable, by email. Your continued use of the Services after the updated Terms take effect constitutes your acceptance of the changes.
2. Who can use our Services
You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you are 18 years or older and have the legal capacity to enter into a binding agreement.
If you are using our Services on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.
3. Accounts and registration
Some of our Services require you to create an account. When you do, you agree to:

keep your login credentials secure and confidential;

notify us promptly at hello@ai-explorer.com.au if you become aware of any unauthorised access to your account; and

accept responsibility for all activity that occurs under your account.
We reserve the right to suspend or terminate your account if we reasonably believe you have breached these Terms, subject to providing you with reasonable notice and an opportunity to address the issue, except where immediate action is necessary to prevent harm or comply with the law.
4. Services and content
4.1 What we provide
Our Services are designed to help individuals and organisations understand, assess, and develop their AI readiness and capability. This includes assessment surveys, personalised insights dashboards, development recommendations, workshops, and supporting resources.
4.2 Informational purposes
The insights, scores, recommendations, and content provided through our Services are for general informational and educational purposes only. They do not constitute professional advice (whether legal, financial, career, psychological, or otherwise). You should seek independent professional advice before making decisions based on your results.
4.3 Accuracy and availability
We take reasonable care to ensure our Services are accurate and available, but we do not guarantee that the Services will be uninterrupted, error-free, or available at all times. We may modify, suspend, or discontinue any part of the Services at any time, with reasonable notice where practicable.
5. Your use of the Services
When using our Services, you agree not to:

use the Services for any unlawful purpose or in a way that breaches any applicable law or regulation;

attempt to gain unauthorised access to any part of the Services, other accounts, computer systems, or networks connected to the Services;

interfere with or disrupt the integrity or performance of the Services;

impersonate any person or entity, or misrepresent your affiliation with any person or entity; or

upload or transmit any material that contains viruses, malware, or other harmful code.
6. Intellectual property
6.1 Our intellectual property
All content, materials, software, designs, text, graphics, logos, trademarks, and other intellectual property available through our Services are owned by or licensed to AI Explorer and are protected by Australian and international intellectual property laws, including the Copyright Act 1968 (Cth) and the Trade Marks Act 1995 (Cth).
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use our Services and content for your personal, non-commercial purposes, in accordance with these Terms.
You must not, without our prior written consent:

reproduce, modify, adapt, or create derivative works from any of our content;

distribute, publicly display, or commercially exploit our content; or
-
remove any copyright, trademark, or proprietary notices from our materials.
6.2 Your content
Where you submit content through our Services (for example, assessment responses), you retain ownership of that content. By submitting content, you grant us a non-exclusive, worldwide, royalty-free licence to use, store, and process that content solely for the purpose of providing and improving our Services.
7. Privacy and data
We collect, use, and disclose personal information in accordance with the Privacy Act 1988 (Cth), the Australian Privacy Principles (APPs), and our Privacy Policy, which is available at aiexplorer.newzenler.com/privacypolicy.
By using our Services, you consent to the collection, use, and disclosure of your personal information as described in our Privacy Policy. We will not sell your personal information to third parties.
8. Fees and payment
Some of our Services may be offered free of charge, while others may require payment. Where fees apply, they will be clearly displayed before you complete a purchase.
All prices are in Australian dollars (AUD) and are inclusive of GST unless otherwise stated. Payment processing is handled by our platform partners (currently Zenler and Stripe). We do not store your credit card or payment details directly.
Refund entitlements are subject to your rights under the Australian Consumer Law (see section 9 below).
9. Australian Consumer Law
Our Services come with guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)). Nothing in these Terms purports to modify, exclude, or restrict any consumer guarantee or any right or remedy you may have under the Australian Consumer Law.
Under the Australian Consumer Law, you are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the services remedied if they fail to be of acceptable quality and the failure does not amount to a major failure.
For services, the consumer guarantees include (among others) that services will be:

provided with due care and skill;

fit for any specified purpose made known to the supplier; and
-
supplied within a reasonable time (where no time is specified).
10. Limitation of liability
To the maximum extent permitted by law, and subject to section 9 (Australian Consumer Law):

our total aggregate liability to you for any claim arising out of or in connection with these Terms or the Services is limited to the amount you paid us for the relevant Service in the 12 months preceding the claim (or, if no fees were paid, $100 AUD); and
-
we are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, even if we have been advised of the possibility of such damages.
This limitation of liability does not apply to liability that cannot be excluded or limited by law, including liability for death or personal injury caused by negligence, fraud, or any liability arising under the Australian Consumer Law.
11. Disclaimers
Subject to section 9 (Australian Consumer Law) and to the fullest extent permitted by law:

the Services are provided on an ‘as available’ basis, and we do not warrant that they will be uninterrupted, secure, or free from errors;

we do not warrant that the results obtained from the AIx Assessment or Insights Portal will be accurate, complete, or suitable for any particular purpose — they are informational tools, not professional advice; and
-
we are not responsible for any content, products, or services available through third-party websites linked from our Services.
These disclaimers are subject to and do not limit your rights under the Australian Consumer Law or any other applicable law that cannot be excluded by agreement.
12. Third-party links and services
Our Services may contain links to third-party websites or services that are not owned or controlled by us (for example, Zenler for course hosting). We are not responsible for the content, privacy practices, or availability of those third-party services. Your use of third-party services is at your own risk and subject to their terms and conditions.
13. Termination
You may stop using our Services at any time.
We may suspend or terminate your access to the Services if:

you materially breach these Terms and fail to remedy the breach within 14 days of us notifying you;
-
you engage in conduct that is unlawful, fraudulent, or harmful to other users or to us;
-
we are required to do so by law; or
-
we discontinue the Services (with reasonable notice where practicable).
On termination, your right to access the Services ceases. Sections of these Terms that by their nature should survive termination (including sections on intellectual property, limitation of liability, disclaimers, and governing law) will continue in effect.
14. Dispute resolution
If you have a complaint or dispute about our Services, we encourage you to contact us first at hello@ai-explorer.com.au so we can attempt to resolve the matter informally.
If we cannot resolve the dispute within 30 days, either party may refer the dispute to mediation administered by the Resolution Institute (or another agreed mediation provider) in Melbourne, Victoria. The costs of mediation will be shared equally between the parties unless the mediator directs otherwise.
Nothing in this clause prevents either party from seeking urgent interim relief from a court of competent jurisdiction, or limits your right to make a complaint to a relevant regulatory authority, including Consumer Affairs Victoria, the Australian Competition and Consumer Commission (ACCC), or the Office of the Australian Information Commissioner (OAIC).
15. Governing law and jurisdiction
These Terms are governed by the laws of Victoria, Australia, and the applicable Commonwealth laws of Australia. You and AI Explorer irrevocably submit to the non-exclusive jurisdiction of the courts of Victoria and any courts entitled to hear appeals from those courts.
16. General provisions
16.1 Entire agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and AI Explorer in relation to your use of the Services, and supersede all prior agreements, representations, and understandings.
16.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be severed or read down to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
16.3 Waiver
A failure or delay by us in exercising any right under these Terms does not operate as a waiver of that right. A single or partial exercise of a right does not prevent further exercise of that or any other right.
16.4 Assignment
You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms to a successor entity in connection with a merger, acquisition, or sale of assets, provided the successor agrees to be bound by these Terms.
